1.Theconditionofthisobligationissuch,thatifabovebondedDebtorperformthe

covenants,conditionsandagreementsinsaidcontract,thenthisobligationshall

becomenullandvoid,otherwiseitshallbeandremaininfullforce.

2.NeithertheContractnorthisAgreementshallbeassigned,changedormodified

withoutthewrittenconsentofSurety.

3.SuretyisresponsibletopayamountdueunderContractincludingloss,damagesand

interestsnotexceedingabove-mentionedamount.

4.PaymentsdueunderthisAgreementshallbepaiduponwrittennoticeofCreditor

supportedbyevidenceofDebtorsdefault.

5.TheSuretyshallpayamountduenolaterthan30daysafterthegivingnoticeof

default.

6.TheCreditorshallexercisenormalprudentbusinesspracticesandshallapply

reasonableeffortstomitigatepossiblelossesundertheContract.Surety\'sobligations

shallbereleasedandvoiduponthefailureofCreditortoproperlyperfectitssecurity

interestsincollateralandtomaintainthevalidityofsecurityinterestinthecollateral.
